The agreement that governs every Revnz engagement — plans, minimum term, billing, and what happens if a payment fails.
These Terms & Conditions ("Terms") govern the provision of automation, software development, integration, and related services ("Services") by Revnz ("Revnz," "we," "us") to the client entering into a plan or proposal with us ("Client," "you"). By signing a proposal, submitting payment, or otherwise engaging Revnz, you agree to be bound by these Terms.
Revnz provides dedicated automation specialists, custom software development, AI agent development, workflow automation, CRM and business system integrations, reporting and business intelligence tooling, and ongoing managed support, as described in the applicable plan (Essential, Growth, or Scale) or a custom Scope of Work ("SOW"). Specific deliverables, development hours, and support levels are defined in your plan or SOW, which forms part of this agreement.
All Revnz engagements carry a minimum initial term of six (6) months ("Minimum Term") from the start date stated in your signed proposal or SOW, regardless of the plan selected.
Following the Minimum Term, your agreement automatically renews on a month-to-month basis unless cancelled in accordance with Section 6. You are billed monthly in advance for the duration of the Minimum Term and any subsequent renewal period, irrespective of whether you use the full allotment of development hours in a given month.
Fees are billed monthly in advance, on the same calendar date your engagement began, via the payment method on file. Prices are as stated in your plan or SOW and are subject to change with thirty (30) days' written notice ahead of your next renewal period. Unused development hours in a given month do not roll over unless explicitly stated in your SOW.
If a scheduled payment fails or is declined, Revnz will attempt to notify you and re-process the payment. If payment is not successfully resolved within five (5) business days of the failed attempt, Revnz reserves the right to immediately suspend all dedicated resources, automations, AI agents, and managed services associated with your account, without further notice.
Suspended services include, without limitation: pausing of all active workflow automations and AI agents, revocation of specialist and engineering time for that billing period, and suspension of monitoring and support. If payment remains unresolved for more than fifteen (15) business days from the original failed payment date, Revnz reserves the right to permanently cancel the affected resources, reassign your dedicated specialist, and archive or delete associated project data in accordance with Section 9 and our Privacy Policy.
Reinstatement of cancelled services after non-payment may require a new onboarding process and is subject to a reactivation fee, at Revnz's discretion. Revnz is not liable for any business disruption, data loss, or lost revenue resulting from suspension or cancellation due to failed payment.
The Client may not terminate this agreement prior to the end of the six (6) month Minimum Term except for Revnz's uncured material breach. Early termination by the Client for any other reason will require payment of the remaining fees owed for the balance of the Minimum Term. After the Minimum Term, either party may terminate the agreement with thirty (30) days' written notice.
Development hours included in your plan are allocated on a best-effort monthly basis. Requests exceeding your plan's monthly hour allotment, or requests for entirely new automations outside the agreed scope, may be scheduled into a future month or quoted as additional capacity at the rate stated on our Pricing page.
Upon full payment, Client owns the custom code, workflows, and configurations built specifically for Client under this agreement. Revnz retains ownership of its pre-existing tools, frameworks, internal libraries, and general methodologies used to deliver the Services, and may reuse non-Client-specific components across engagements.
Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement, and to use it solely for the purpose of performing under this agreement. This obligation survives termination of the agreement for a period of two (2) years.
Client agrees to provide timely access to relevant systems, accounts, and data required for Revnz to perform the Services, and to designate a point of contact for approvals and feedback. Delays caused by Client's failure to provide access or feedback may extend delivery timelines without penalty to Revnz.
Revnz will perform the Services in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, Services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted operation, to the extent permitted by law.
To the maximum extent permitted by law, Revnz's total liability arising out of this agreement will not exceed the total fees paid by Client in the three (3) months preceding the claim. Revnz is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
In addition to termination for non-payment under Section 5, either party may terminate this agreement for the other party's uncured material breach, following thirty (30) days' written notice and opportunity to cure. Sections 5, 6, 8, 9, 11, and 12 survive termination.
This agreement is governed by the laws of the jurisdiction specified in your signed proposal or SOW, without regard to conflict-of-law principles.
Revnz may update these Terms from time to time. Material changes affecting active clients will be communicated with at least thirty (30) days' notice before taking effect on renewal.
